Acceptance of Terms

1.1. By accessing botify.cloud, the migration page, the claim functionality, the Botify application, or any related service (together, the "Platform"), or by acquiring, holding, transferring, staking, or otherwise interacting with the Token, you agree to be bound by these Terms and Conditions ("Terms").

1.2. If you do not agree to every provision of these Terms, do not use the Platform and do not interact with the Token.

1.3. You confirm that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher), that you have full legal capacity to enter into these Terms, and that you are not a Restricted Person under Section 12.

1.1. By accessing botify.cloud, the migration page, the claim functionality, the Botify application, or any related service (together, the "Platform"), or by acquiring, holding, transferring, staking, or otherwise interacting with the Token, you agree to be bound by these Terms and Conditions ("Terms").

1.2. If you do not agree to every provision of these Terms, do not use the Platform and do not interact with the Token.

1.3. You confirm that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher), that you have full legal capacity to enter into these Terms, and that you are not a Restricted Person under Section 12.

Team and Development

2.1. Botify is operated by its original core team (the "Team").The Team has engaged a newly appointed development team to build and deliver the relaunched product and the Token.

2.2. The relaunch replaces the previous Botify product and token in full. Other than the migration claim described in Section 3, no obligations, commitments, features, or communications associated with the Legacy Token carry over to the Token.

2.3. The relaunched token ("$BOTIFY" or the "Token") is a new token deployed on the Solana blockchain at the contract address stated above. It is separate from the previously issued Botify token at contract address BYZ9CcZGKAXmN2uDsKcQMM9UnZacija4vWcns9Th69xb (the "Legacy Token").

2.4. References to the "Team" include the Team's members, founders, contractors, developers, advisors, service providers, affiliates, successors, and assigns.

2.1. Botify is operated by its original core team (the "Team").The Team has engaged a newly appointed development team to build and deliver the relaunched product and the Token.

2.2. The relaunch replaces the previous Botify product and token in full. Other than the migration claim described in Section 3, no obligations, commitments, features, or communications associated with the Legacy Token carry over to the Token.

Migration and Claim Eligibility

3.1. Snapshot. Eligibility is determined by a snapshot of Legacy Token balances as of September 1, 2026 (the "Snapshot"). The exact block height and timestamp of the Snapshot are published on the migration page.

3.2. 1:1 Claim. Eligible wallets may claim the Token at a ratio of 1:1 against their Legacy Token balance at the Snapshot.

3.3. Not all holders are eligible. The following are excluded from the claim, at the Team's sole discretion:

(a) wallets associated with prior Botify operators, deployers, treasuries, or team allocations;
(b) tokens held in liquidity pools, smart contracts, bridges, or other non-custodial contract addresses at the Snapshot;
(c) centralized exchange or custodial wallets, unless the relevant exchange supports the migration directly;
(d) wallets that purchased, received, or otherwise acquired Legacy Tokens after September 1, 2026;
(e) wallets flagged for wash trading, exploits, sybil activity, or other manipulation;
(f) any person or entity that is a Restricted Person under Section 12.

3.4. Claim window. Claims open on September 21, 2026 and close 60 days later. Tokens not claimed by the end of the claim window are permanently burned and cannot be recovered.

3.5. Verification. The Team may require wallet signature verification before releasing a claim. Signing a message is free and never requires a seed phrase or private key.

3.6. Adjustments. The Team may amend the Snapshot, eligibility criteria, or claim mechanics where reasonably necessary to protect the integrity of the migration, including in response to exploits, sybil activity, or technical failures.

3.7. Legacy Token activity after September 1, 2026. Any wallet that purchases, receives, or otherwise acquires the Legacy Token (contract address BYZ9CcZGKAXmN2uDsKcQMM9UnZacija4vWcns9Th69xb) after September 1, 2026 is not eligible for migration, claim, or any allocation of the Token. The Legacy Token is not endorsed, marketed, supported by, or affiliated with botify.cloud, x.com/botifydotcloud, or t.me/botifycloud. Any trading activity in the Legacy Token after September 1, 2026 is undertaken entirely at the trader's own risk and creates no entitlement of any kind.

3.8. Sole discretion. Notwithstanding any other provision of these Terms, the Team retains sole and absolute discretion to determine the eligibility of any wallet for the migration and claim, including the discretion to include or exclude any wallet irrespective of the date on which Legacy Tokens were acquired or held, the balance held, or any other factor. Eligibility determinations are final and are not subject to appeal or review. Nothing in these Terms, on the Platform, or in any communication by the Team creates an entitlement to receive the Token.

Nature of the Token and the Legacy Token

4.1. The Token and the Legacy Token are digital assets recorded on the Solana blockchain, a permissionless, decentralized public ledger that the Team does not own, operate, or control.

4.2. Anyone may buy, sell, transfer, or create markets for either token without the Team's involvement, knowledge, permission, or approval. The Team does not operate any exchange or liquidity pool in which either token trades and cannot prevent, reverse, or modify any transaction.

4.3. The Token confers no equity, ownership, shareholding, profit share, debt, security interest, or claim against the Team or any entity. It grants no rights to dividends, revenue, assets, or intellectual property, and no governance rights unless expressly enabled by a Platform feature.

4.4. The Token is intended for use within the Botify Platform. Any market value it may have is determined solely by third parties on secondary markets over which the Team has no control.

4.5. The Legacy Token is not maintained, supported, endorsed, marketed, or controlled by the Team, and the Team assumes no responsibility for it whatsoever.

ou acknowledge, understand, and accept that interacting with the Platform, the Token, or the Legacy Token involves substantial risk, including without limitation:

(a) total and permanent loss of value, including a price of zero;
(b) extreme volatility, low liquidity, and inability to sell at any price;
(c) smart contract bugs, vulnerabilities, exploits, and failures, whether in the Token, the Platform, or any third-party protocol;
(d) blockchain network failures, congestion, forks, reorganizations, or downtime;
(e) loss, theft, or compromise of private keys, seed phrases, or wallets;
(f) phishing, impersonation, fake contract addresses, fake claim pages, and scams by third parties;
(g) slippage, front-running, MEV, sandwich attacks, and other adversarial trading behavior;
(h) user error, including sending tokens to an incorrect address, interacting with the wrong contract, or misconfiguring a transaction;
(i) regulatory, legal, or tax changes in any jurisdiction, including actions that restrict or prohibit the Token, tokenized equities, or the Platform;
(j) failure, insolvency, or misconduct of any third-party service, exchange, wallet, bridge, data provider, or tokenized-asset issuer;
(k) the autonomous and experimental nature of AI-driven token launches; and
(l) the possibility that the Platform, the roadmap, or any feature is delayed, changed, or never delivered.

You assume all of these risks in full and without limitation.

(l) the possibility that the Platform, the roadmap, or any feature is delayed, changed, or never delivered.

You assume all of these risks in full and without limitation.

No Responsibility for Loss of Funds

6.1. The Team is not responsible for any loss of funds, tokens, or value of any kind, arising from or relating to the Token or the Legacy Token, for any reason whatsoever. This includes, without limitation, losses caused by market movements, trading decisions, smart contract failures, network failures, third-party services, exploits, hacks, phishing, scams, user error, the migration process, the claim page, autonomous bot launches, or the acts or omissions of any third party.

6.2. You trade on a permissionless public ledger at your own risk. Every purchase, sale, transfer, swap, stake, or claim you execute is your own decision, initiated and signed by you, and is final and irreversible once confirmed on-chain.

6.3. The Team does not and cannot custody, freeze, recover, refund, replace, or reimburse any tokens or funds, including tokens sent to the wrong address, tokens lost through wallet compromise, or tokens purchased from fraudulent contracts or impersonators.

6.4. Losses arising from the Legacy Token, including losses from purchasing the Legacy Token after September 1, 2026 in the expectation of a migration, are solely your own.

6.5. Losses arising from any token launched autonomously by Botify bots, or by any third party through the Platform, are solely your own. See Section 9.

6.1. The Team is not responsible for any loss of funds, tokens, or value of any kind, arising from or relating to the Token or the Legacy Token, for any reason whatsoever. This includes, without limitation, losses caused by market movements, trading decisions, smart contract failures, network failures, third-party services, exploits, hacks, phishing, scams, user error, the migration process, the claim page, autonomous bot launches, or the acts or omissions of any third party.

6.2. You trade on a permissionless public ledger at your own risk. Every purchase, sale, transfer, swap, stake, or claim you execute is your own decision, initiated and signed by you, and is final and irreversible once confirmed on-chain.

6.3. The Team does not and cannot custody, freeze, recover, refund, replace, or reimburse any tokens or funds, including tokens sent to the wrong address, tokens lost through wallet compromise, or tokens purchased from fraudulent contracts or impersonators.

6.4. Losses arising from the Legacy Token, including losses from purchasing the Legacy Token after September 1, 2026 in the expectation of a migration, are solely your own.

6.5. Losses arising from any token launched autonomously by Botify bots, or by any third party through the Platform, are solely your own. See Section 9.

No Custody, No Fiduciary Duty, No Advice

7.1. The Team never takes custody of your funds. You control your own wallet and keys at all times.

7.2. The Team owes you no fiduciary, advisory, or other duty of care, and no relationship of trust, agency, partnership, or joint venture exists between you and the Team.

7.3. Nothing on the Platform, in the Team's communications, or in any community channel constitutes financial, investment, trading, legal, or tax advice, or a recommendation to buy, sell, or hold any asset. You are solely responsible for your own decisions and for obtaining independent professional advice.

7.1. The Team never takes custody of your funds. You control your own wallet and keys at all times.

7.2. The Team owes you no fiduciary, advisory, or other duty of care, and no relationship of trust, agency, partnership, or joint venture exists between you and the Team.

7.3. Nothing on the Platform, in the Team's communications, or in any community channel constitutes financial, investment, trading, legal, or tax advice, or a recommendation to buy, sell, or hold any asset. You are solely responsible for your own decisions and for obtaining independent professional advice.

Third-Party Services

8.1. The Platform relies on and links to third-party services, including without limitation the Solana network, wallets, decentralized exchanges and aggregators (such as Raydium and Jupiter), token launch infrastructure, tokenized-asset issuers, oracles, data providers, social platforms, and news sources.

8.2. The Team does not control, endorse, or assume responsibility for any third-party service, its availability, accuracy, security, or terms. Your use of any third-party service is governed by that service's own terms and is at your own risk.

8.3. Tokenized equities and similar assets referenced by the Platform are issued and controlled by third parties. The Team makes no representation regarding their backing, redeemability, availability, legality, or value.

8.1. The Platform relies on and links to third-party services, including without limitation the Solana network, wallets, decentralized exchanges and aggregators (such as Raydium and Jupiter), token launch infrastructure, tokenized-asset issuers, oracles, data providers, social platforms, and news sources.

9.2. The Team does not manage, market-make, support, guarantee, or take responsibility for any bot-launched token, its liquidity, its performance, or the conduct of its holders.

9.3. Signals, scores, reasoning, alpha feeds, watchlists, dashboards, performance data, and alerts on the Platform are provided for informational purposes only, may be inaccurate, incomplete, delayed, or wrong, and must not be relied upon for any decision.

9.4. Any token, name, or reference to a company or security on the Platform is for identification only and does not imply any affiliation with, endorsement by, or ownership interest in that company or security.

9.1. Tokens launched by Botify bots are created autonomously by software based on public market, news, and social data. Such launches are experimental, informational, and automated. They are not investment recommendations, endorsements, or representations of value.

Fee Mechanics, Buybacks, and Staking

10.1. Any fee-sharing, buyback, burn, staking, yield, priority-access, or reward mechanic described on the Platform is a protocol feature that the Team may implement, modify, pause, or discontinue at any time and for any reason.

10.2. No such mechanic is a promise, guarantee, or expectation of income, profit, return, or appreciation. Amounts distributed, if any, may be zero.

10.3. Staking and similar features may lock your tokens for a period during which you cannot transfer or sell them. You accept this risk in full.

10.1. Any fee-sharing, buyback, burn, staking, yield, priority-access, or reward mechanic described on the Platform is a protocol feature that the Team may implement, modify, pause, or discontinue at any time and for any reason.

10.2. No such mechanic is a promise, guarantee, or expectation of income, profit, return, or appreciation. Amounts distributed, if any, may be zero.

10.3. Staking and similar features may lock your tokens for a period during which you cannot transfer or sell them. You accept this risk in full.

11.2. The Team will never initiate a direct message, never ask for a seed phrase, private key, or password, and never ask you to send funds to receive a claim. Treat any such request as a scam.

11.3. Support is provided on a reasonable-efforts basis with no guarantee of resolution or response time. Support communications do not modify these Terms.

Restricted Persons and Jurisdictions

12.1. The Platform and the Token are not offered to, and may not be used by, any person located in, incorporated in, or a resident of a jurisdiction where such access would be unlawful, or any person subject to sanctions ("Restricted Persons"). [Counsel to specify restricted jurisdictions.]

12.2. You represent that you are not a Restricted Person and that your use of the Platform complies with all laws applicable to you.

12.3. The Team may use geographic and other restrictions to enforce this Section and may deny access or eligibility to any person it believes to be a Restricted Person.

12.1. The Platform and the Token are not offered to, and may not be used by, any person located in, incorporated in, or a resident of a jurisdiction where such access would be unlawful, or any person subject to sanctions ("Restricted Persons"). [Counsel to specify restricted jurisdictions.]

12.2. You represent that you are not a Restricted Person and that your use of the Platform complies with all laws applicable to you.

Taxes

13.1 You are solely responsible for determining, reporting, and paying any taxes arising from your acquisition, holding, claim, staking, transfer, or disposal of the Token or the Legacy Token.

The Team provides no tax reporting and assumes no tax liability on your behalf.

No Refunds; Finality

14.1 All on-chain transactions are final. The Team offers no refunds, cancellations, reversals, or exchanges under any circumstances.

Prohibited Use

15.1 You agree not to use the Platform to violate any law; to manipulate the migration, the Token, or any market; to engage in wash trading, sybil activity, or exploits; to interfere with, disable, or reverse-engineer the Platform; to scrape or misuse Platform data; or to impersonate the Team, its members, or its official channels.

Intellectual Property

16.1 The Botify name, logos, bots, software, content, and design are owned by or licensed to the Team. No rights are granted except as expressly stated in these Terms. You may not copy, modify, or create derivative works from the Platform without written permission.

18.1 The Platform, the Token, and all related content are provided "as is" and "as available" without warranty of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, or uninterrupted or error-free operation. The Team does not warrant that the Platform or the Token will meet your requirements or that any defect will be corrected.

Limitation of Liability

19.1. To the maximum extent permitted by law, the Team shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of tokens, funds, profits, revenue, data, goodwill, or opportunity, arising out of or relating to the Platform, the Token, the Legacy Token, the migration, or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages.

19.2. To the maximum extent permitted by law, the Team's total aggregate liability to you for all claims arising out of or relating to the Platform, the Token, the Legacy Token, the migration, or these Terms shall not exceed the lesser of (a) the amount you paid directly to the Team, if any, in the twelve months preceding the claim, and (b) one hundred US dollars (US$100).

19.3. These limitations apply regardless of whether any remedy fails of its essential purpose.

Indemnification

20.1 You agree to indemnify, defend, and hold harmless the Team from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your interaction with the Token or the Legacy Token, your violation of these Terms, your violation of any law or third-party right, or any dispute between you and any third party.

Release

21.1 To the maximum extent permitted by law, you release and forever discharge the Team from any and all claims, demands, and damages of every kind, known or unknown, arising out of or relating to the Platform, the Token, the Legacy Token, the migration, or any dispute with any third party. If you are a California resident, you waive California Civil Code Section 1542 and any similar law in any other jurisdiction.

Dispute Resolution, Arbitration, and Class Action Waiver

22.1. Any dispute arising out of or relating to these Terms, the Platform, the Token, or the Legacy Token shall be resolved exclusively by binding individual arbitration administered by [arbitral institution to be confirmed by counsel] seated in [seat to be confirmed by counsel], except that either party may seek injunctive relief in a court of competent jurisdiction.

22.2. You agree to bring claims only in your individual capacity and waive any right to participate in a class, collective, or representative action.

Changes to These Terms

24.1 The Team may update these Terms at any time by posting a revised version on the Platform. Continued use after an update constitutes acceptance of the revised Terms.

General

25.1. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be enforced to the maximum extent permitted.

25.2. Entire agreement. These Terms constitute the entire agreement between you and the Team regarding the Platform and the Token and supersede all prior statements, communications, and understandings.

25.3. No reliance. You confirm that you have not relied on any statement, promise, or representation, whether written or oral, that is not expressly set out in these Terms.

25.4. No waiver. The Team's failure to enforce any provision is not a waiver of that provision or any other.

25.5. Assignment. You may not assign these Terms. The Team may assign them without restriction.

25.6. Survival. Sections 4 through 10 and 13 through 25 survive any termination of these Terms or your use of the Platform.
